debênture. (direito societário) Nota sobre a versão de debênture: em 
português, debêntures são ‘valores mobiliários que conferem direito de 
crédito perante a sociedade anônima emissora, nas condições constantes 
do certificado (se houver) e da escritura de emissão’ [Coelho, Fábio 
Ulhoa, Curso de Direito Comercial vol. 2, p. 141]. 
Em inglês, as debêntures são genericamente chamados de bonds: “There 
are two principal types of debt securities: debentures, and bonds. 
Technically a ‘debenture’ is an unsecured corporate obligation while a 
‘bond’ is secured by a lien or mortgage on some part (or all) of the 
corporate property. However, the word ‘bond’ is often used 
indiscriminately to cover both bonds and debentures and is so used 
hereafter”. [Hamilton, Robert W., The Law of Corporations, p. 223; 
Black’s Law Dictionary 6th edition, p. 178]. 
Em inglês, portanto, bond é o gênero, do qual debenture é espécie. 
Debenture, nos EUA, possui significado mais restrito que debênture
no Brasil. Debenture, em inglês, é apenas a debênture quirografária
Portanto, traduza debênture por bond. 
Apenas debêntures quirografárias e debêntures subordinadas podem 
ser traduzidas por debenture. 
Se não houver indicação da espécie da debênture, deve-se traduzir sempre 
por bond.
